1. ACCEPTANCE OF THESE TERMS

Welcome to Theia Helps ("Theia"), operated by Theia Helps, Inc.

These Terms of Service ("Terms") govern your access to and use of our website, services, communications, memberships, products, educational resources, discounts, and any related features (collectively, the "Services").

By accessing or using our Services, you agree to these Terms. If you do not agree, you should not use the Services.

2. ABOUT THEIA

Theia exists to help individuals and communities prepare for, navigate, and recover from disasters.

Our Services may include, among other things:

  • Educational content and preparedness resources

  • Disaster recovery guidance

  • Member communications

  • Discounts and special offers from participating businesses

  • Concierge-style navigation and referrals

  • Product recommendations

  • Digital tools and calculators

  • Community resources

  • Future software applications and member services

The Services offered by Theia may change over time.

Theia is an independent private company and is not a government agency. Unless expressly stated otherwise, Theia is not affiliated with, endorsed by, or acting on behalf of the Federal Emergency Management Agency (FEMA), the U.S. Small Business Administration (SBA), or any other federal, state, or local government agency or disaster relief program, unless expressly stated otherwise.

3. ELIGIBILITY

You must be at least 18 years old to use the Services.

By accessing or using the Services, you represent that you meet this age requirement and that the information you provide to us is accurate, complete, and current. You agree to update your information as reasonably necessary to keep it accurate and current.

4. YOUR ACCOUNT

Some Services require you to create an account.

You agree to:

  • Keep your login credentials confidential.

  • Maintain accurate account information.

  • Promptly update information that changes.

  • Notify us if you believe your account has been compromised.

You are responsible for activity occurring under your account.

5. COMMUNICATIONS

By providing your email address or mobile phone number, you agree to receive communications related to your account, requested services, and other operational matters.

If you separately opt in to receive marketing communications, you may also receive emails or SMS messages about products, services, educational resources, preparedness information, promotions, and other communications that may be useful based on your circumstances.

You may opt out of marketing communications at any time. Opting out of marketing messages does not prevent us from sending transactional or service-related communications.

6. EDUCATIONAL INFORMATION ONLY

The information provided through Theia is intended for educational and informational purposes.

Nothing on our Services should be considered legal advice, financial advice, tax advice, insurance advice, engineering advice, architectural advice, construction advice, medical advice, mental health advice, or any other professional advice.

Users should consult qualified professionals before making decisions regarding insurance claims, rebuilding, legal matters, finances, construction, or other significant decisions.

7. NO PROFESSIONAL OR FIDUCIARY RELATIONSHIP

Your use of Theia does not create an attorney-client, contractor-client, engineer-client, architect-client, insurance adjuster-client, fiduciary, agency, or other professional relationship with Theia Helps, Inc. or its employees, contractors, advisors, or partners.

8. DISCOUNTS, OFFERS, & THIRD-PARTY SERVICES

Theia may introduce you to products, services, contractors, retailers, nonprofit organizations, government agencies, or other third parties.

Unless expressly stated otherwise:

  • We do not manufacture or sell third-party products.

  • We are not responsible for third-party pricing, availability, quality, delivery, warranties, or performance.

  • Discounts and offers are subject to change or withdrawal by participating businesses.

  • Any agreement you enter into with a third party is solely between you and that third party.

Any designation of a third party as “vetted,” “verified,” “recommended,” “preferred,” or similar language reflects the criteria and information available to Theia at the time of review and is not a guarantee, warranty, certification, or endorsement of that third party's future performance, workmanship, licensing status, pricing, availability, or suitability for your particular needs. You remain responsible for evaluating and entering into any agreement with a third-party provider.

Theia may receive fees, commissions, referral compensation, revenue sharing, or other compensation from certain participating businesses or partners when users purchase products or services, engage a provider, or otherwise transact through or as a result of the Services. Unless expressly stated otherwise, this compensation does not increase the price you pay to Theia for access to the Services. Additional information about our partnerships and compensation practices may be provided through our Services or applicable disclosures.

If Theia directly sells products (including discounted personal protective equipment), those purchases are also subject to any additional purchase terms we provide at checkout, including pricing, payment, shipping, and return or refund terms.

9. USER CONTENT

You may submit information, documents, photographs, feedback, messages, reviews, or other materials.

You retain ownership of your content.

By submitting content, you grant Theia Helps, Inc. a non-exclusive, worldwide, royalty-free license to use, reproduce, display, modify, distribute, and otherwise use that content solely for operating, improving, securing, promoting, and providing the Services, subject to our Privacy Policy.

You represent that you have the rights necessary to submit any content you provide.

We may remove or refuse to display any content that violates these Terms or applicable law, or that we determine, in our discretion, is inappropriate for our Services. If you believe content on our Services infringes your intellectual property rights, please contact us using the information in Section 22.

10. ACCEPTABLE USE

You agree not to:

  • Violate any law.

  • Impersonate another person.

  • Submit false or misleading information.

  • Attempt unauthorized access to our systems.

  • Introduce malicious software.

  • Interfere with the operation of the Services.

  • Harvest user information.

  • Use the Services for fraudulent purposes.

We reserve the right to suspend or terminate accounts that violate these Terms.

11. INTELLECTUAL PROPERTY

Unless otherwise noted, all content, graphics, software, branding, logos, text, photographs, videos, designs, and other materials provided through the Services are owned by or licensed to Theia Helps, Inc. and are protected by applicable intellectual property laws.

You may not reproduce, distribute, modify, or commercially exploit our materials without prior written permission.

12. AVAILABILITY

We strive to keep our Services available but cannot guarantee uninterrupted access.

We may modify, suspend, discontinue, or update any portion of the Services at any time without notice.

13. PRIVACY

Your use of our Services is also governed by our Privacy Policy and SMS Privacy Notice, which describe how we collect, use, and protect personal information.

14. DISCLAIMER OF WARRANTIES

The Services are provided "as is" and "as available."

To the fullest extent permitted by law, Theia Helps, Inc. disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, availability, and non-infringement.

We do not guarantee that:

  • information will always be complete or current;

  • Services will always be available;

  • recommendations will meet your particular needs; or

  • disasters, recovery timelines, government programs, pricing, or third-party services will remain unchanged.

15. LIMITATION OF LIABILITY

To the fullest extent permitted by law, Theia Helps, Inc., its officers, directors, employees, contractors, affiliates, volunteers, licensors, and partners shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages arising from or relating to your use of the Services.

Our total liability for any claim arising from the Services shall not exceed the greater of:

  • One hundred U.S. dollars ($100), or

  • The amount you paid us for the specific Service giving rise to the claim during the twelve (12) months preceding the event.

Some jurisdictions do not allow certain limitations of liability, so portions of this section may not apply.

16. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless Theia Helps, Inc. and its affiliates, officers, employees, contractors, and partners from claims, damages, losses, liabilities, and expenses arising from your use of the Services, your violation of these Terms, or your violation of another person's rights.

17. TERMINATION

We may suspend or terminate your access to the Services at any time if we reasonably believe you have violated these Terms or applicable law.

You may discontinue use of the Services at any time.

18. DISPUTE RESOLUTION; ARBITRATION AGREEMENT; CLASS ACTION WAIVER

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT AND HAVE A JURY DECIDE YOUR CLAIM.

18.1 INFORMAL RESOLUTION

Before initiating arbitration, you and Theia Helps, Inc. (“Theia,” “we,” “us,” or “our”) agree to make a good-faith effort to resolve the dispute informally. Either party may initiate this process by providing written notice describing the dispute and the relief requested. The parties will have thirty (30) days after receipt of the notice to attempt to resolve the dispute before initiating arbitration, unless both parties agree otherwise.

18.2 AGREEMENT TO ARBITRATE

Except for the matters specifically excluded below, you and Theia agree that any dispute, claim, or controversy arising out of or relating to your use of, payment for, or Theia’s provision of the specific services provided to you under these Terms will be resolved through binding individual arbitration rather than in court.

This arbitration agreement applies only to disputes concerning the goods, services, payments, or other benefits provided under these Terms. It does not apply to disputes arising from separate transactions, products, services, or agreements between you and Theia that are governed by separate terms.

18.3 ARBITRATION PROCEDURES

Arbitration will be conducted by a neutral arbitrator in accordance with the applicable consumer arbitration rules of a nationally recognized arbitration provider mutually agreed upon by the parties or, if the parties cannot agree, selected as permitted by applicable law.

The arbitrator may award any individual remedy or relief that would otherwise be available to you in court, subject to the limitations permitted by applicable law.

For consumers, Theia will pay arbitration fees to the extent required by applicable law or the applicable consumer arbitration rules.

18.4 CALIFORNIA CLAIMS

If you are a consumer and your claim arises in California, you will not be required to arbitrate the claim outside California or under the substantive law of another state.

California law will govern such disputes to the extent required by applicable law.

18.5 SMALL CLAIMS COURT

Notwithstanding this arbitration agreement, either party may bring an individual claim in small claims court if the claim qualifies for small claims jurisdiction.

If applicable law gives you the right to choose small claims court instead of arbitration, nothing in these Terms limits that right.

18.6 INTELLECTUAL PROPERTY AND OTHER RELIEF

Either party may seek temporary, preliminary, or other injunctive or equitable relief from a court of competent jurisdiction when reasonably necessary to prevent or stop unauthorized use, infringement, misappropriation, or misuse of intellectual property rights while a dispute is being resolved.

Nothing in this Section prevents either party from pursuing any other claim or remedy that applicable law expressly permits to be brought in court notwithstanding an arbitration agreement.

18.7 INDIVIDUAL ARBITRATION AND CLASS ACTION WAIVER

To the fullest extent permitted by applicable law, you and Theia agree that disputes subject to arbitration under this Section will be resolved only on an individual basis.

Neither you nor Theia may bring or participate in an arbitration as a plaintiff or class member in a class, collective, consolidated, or representative proceeding, except to the extent applicable law provides otherwise.

The arbitrator may award relief only to the individual party seeking relief and only to the extent necessary to resolve that party’s individual claim.

18.8 RIGHT TO OPT OUT OF ARBITRATION

You may opt out of the arbitration agreement and class action waiver in this section by providing Theia with written notice within thirty (30) days after you first accept these Terms.

Your notice must include your name, the email address associated with your account or use of the Services, and a clear statement that you wish to opt out of the arbitration agreement.

Opting out of arbitration will not affect your ability to use the Services or otherwise alter the relationship between you and Theia.

18.9 CHANGES TO THIS ARBITRATION AGREEMENT

If Theia makes a material change to this arbitration agreement after you have accepted these Terms, the revised arbitration provision will apply only to the extent permitted by applicable law. We will provide notice of material changes as required by law.

18.10 SEVERABILITY

Except as provided below, if any portion of this arbitration agreement is found to be invalid or unenforceable, that portion will be severed and the remaining provisions will remain in effect to the fullest extent permitted by law.

If the prohibition on class, collective, or representative proceedings is found unenforceable with respect to a particular claim or request for relief, then that claim or request for relief will proceed in a court of competent jurisdiction rather than arbitration, while any remaining arbitrable claims will be handled as permitted by applicable law.

18.11 SCOPE OF THIS SECTION

This Section governs only disputes arising from the specific services, goods, payments, or benefits provided under these Terms. It does not govern disputes arising from a separate purchase or service governed by separate terms, including any direct purchase of products from Theia that is subject to separate sales or marketplace terms.

19. GOVERNING LAW

These Terms are governed by the laws of the State of California, without regard to conflict of law principles.

Any disputes arising under these Terms shall be brought in the state or federal courts located in Los Angeles County, California, unless applicable law provides otherwise, or unless subject to the arbitration agreement in Section 18.

20. GENERAL PROVISIONS

20.1 SEVERABILITY

Except as otherwise specifically provided in these Terms, if any provision of these Terms is found to be invalid, illegal, or unenforceable, that provision will be enforced to the maximum extent permitted by law, and the remaining provisions will remain in full force and effect.

20.2 ENTIRE AGREEMENT

These Terms, together with our Privacy Policy, SMS Privacy Notice, and any additional terms or policies expressly incorporated into these Terms, constitute the entire agreement between you and Theia Helps, Inc. (“Theia,” “we,” “us,” or “our”) regarding the Services covered by these Terms and supersede any prior or contemporaneous agreements, representations, or communications regarding those Services, whether oral or written.

Separate products, purchases, programs, or services may be subject to additional or separate terms. If separate terms apply, those terms will govern the applicable product, purchase, program, or service as specified in those terms.

20.3 ASSIGNMENT

You may not assign or transfer these Terms or your rights or obligations under them without our prior written consent.

We may assign or transfer these Terms, in whole or in part, in connection with a merger, acquisition, corporate reorganization, financing, sale of assets, change of control, or similar transaction, or to an affiliate or successor, subject to applicable law.

20.4 FORCE MAJEURE

Theia will not be liable for delays, interruptions, or failures in performance to the extent caused by circumstances beyond our reasonable control that prevent or materially impair our ability to provide the Services.

Such circumstances may include severe or widespread natural disasters; wildfires; earthquakes; floods; extreme weather; public health emergencies; war, terrorism, or civil unrest; government orders or emergency restrictions; utility, telecommunications, internet, hosting, or infrastructure failures; transportation or supply-chain disruptions; cyberattacks affecting third-party infrastructure; or the failure or unavailability of third-party providers or systems on which the Services reasonably depend.

Because our Services are designed to support individuals and communities affected by disasters, the occurrence of a disaster alone will not excuse our performance under these Terms. This provision applies only when circumstances arising from or related to an event are beyond our reasonable control and actually prevent, delay, or materially impair our ability to perform.

Where reasonably practicable, we will make commercially reasonable efforts to restore or continue affected Services.

20.5 NO WAIVER

Our failure or delay in exercising or enforcing any right or provision under these Terms will not constitute a waiver of that right or provision. Any waiver must be in writing and will apply only to the specific instance for which it is given.

20.6 NOTICES

We may provide notices to you through the Services, by email, by SMS where you have consented to receive such communications, or through other reasonable electronic means using the contact information associated with your account.

Legal notices to Theia must be sent using the contact information provided in Section 22 or through any other method we specifically designate for legal notices.

Electronic notices will be considered delivered as permitted by applicable law.

21. CHANGES TO THESE TERMS

We may revise these Terms from time to time.

When we make material changes, we will update the ‘Last Updated’ date above and provide any additional notice required by applicable law.

Your continued use of the Services after revised Terms become effective constitutes acceptance of those revised Terms, to the extent permitted by applicable law.
