SMS terms of service

1. PROGRAM DESCRIPTION

These SMS Terms & Conditions ("SMS Terms") govern your participation in the text messaging program offered by Theia Helps, operated by Theia Helps, Inc. (“Theia,” “we,” “us,” or “our”).

By opting in to receive text messages from us, you agree to these SMS Terms.

Theia may send text messages to provide information, resources, updates, and communications related to disaster preparedness, disaster response, disaster recovery, member services, products, events, educational content, and other information related to our Services.

Messages may include:

Operational and Transactional Messages - Messages related to an account, transaction, or Service you have requested, which may include:

  • Account notifications

  • Requested resources or information

  • Service and administrative updates

  • Transaction or order information

  • Security-related communications

  • Disaster-related updates associated with a Service you have requested

Marketing and Promotional Messages - Messages that you separately consent to receive, which may include:

  • Educational and informational content

  • Product and Service updates

  • Special offers and discounts

  • Marketplace offers

  • Event invitations

  • Surveys and feedback requests

  • Other promotional communications

Participation in our marketing SMS program is voluntary.

2. ELIGIBILITY

You must be at least 18 years old to participate in our SMS program.

By opting in, you represent that you are at least 18 years old and are the subscriber or customary user of the mobile number you provide, or that you are otherwise authorized to consent to receive messages at that number.

3. CONSENT TO RECEIVE TEXT MESSAGES

Operational and Transactional Messages

When you provide your mobile phone number in connection with an account, transaction, or Service you request, you may consent to receive text messages from Theia that are reasonably related to that account, transaction, or requested Service, to the extent permitted by applicable law.

The scope of those messages will be based on the context in which you provided your number and any disclosures presented to you at that time.

Marketing and Promotional Messages

If you affirmatively opt in to receive marketing or promotional text messages, you consent to receive recurring marketing and promotional text messages from Theia at the mobile number you provide, including messages sent using automated technology where applicable.

Where required by law, your opt-in constitutes prior express written consent to receive such marketing communications.

Consent to receive marketing or promotional text messages is not a condition of purchasing any property, goods, or services from Theia.

Your consent applies to the mobile phone number you provide and to the categories of communications described to you when you opt in. Message frequency varies. Message and data rates may apply.

4. MESSAGE FREQUENCY

Message frequency varies depending on your interactions with Theia, your communication preferences, the Services you request, and disaster-related circumstances or events.

Theia does not guarantee any particular number or frequency of messages.

5. MESSAGE AND DATA RATES

Message and data rates may apply according to your wireless carrier and service plan.

You are responsible for any charges imposed by your wireless carrier in connection with SMS messages.

6. HOW TO OPT OUT

You may revoke your consent to receive SMS messages at any time through any reasonable method permitted by applicable law.

You may opt out by replying with words such as STOP, QUIT, END, REVOKE, OPT OUT, CANCEL, or UNSUBSCRIBE to a message from us. We will also honor other reasonable communications that clearly indicate that you no longer wish to receive applicable SMS messages.

After we receive an opt-out request, we may send you one non-promotional confirmation message acknowledging your request.

Your opt-out will apply to the SMS communications covered by the consent you revoked. Where permitted by applicable law, withdrawing consent for marketing messages does not necessarily prevent Theia from sending messages that are independently authorized and necessary to provide an account, transaction, or Service you specifically requested.

If you wish to stop all SMS communications from Theia, you may clearly tell us that you are revoking consent for all text messages.

If you later wish to receive SMS messages again, you may opt in again through an available Theia enrollment method.

8. SUPPORTED CARRIERS AND MESSAGE DELIVERY

Message delivery depends on your wireless carrier, device, network availability, and other circumstances outside Theia's control.

Wireless carriers are not liable for delayed or undelivered messages.

To the fullest extent permitted by applicable law, Theia is not responsible for delays or failures in message delivery caused by wireless carriers, telecommunications networks, mobile devices, internet or infrastructure outages, or other circumstances beyond our reasonable control.

9. PRIVACY

Your participation in our SMS program is subject to our Privacy Policy and SMS Privacy Policy, which explain how Theia collects, uses, shares, retains, and protects personal information.

We do not sell or share your mobile phone number or SMS opt-in consent with third parties for their own marketing or promotional purposes.

We may provide mobile information to service providers that help us operate our SMS program, such as messaging platforms and telecommunications providers, as reasonably necessary to provide those services.

10. RELATIONSHIP TO OUR TERMS OF SERVICE

These SMS Terms supplement and are incorporated into Theia's Terms of Service.

The Terms of Service, Privacy Policy, SMS Privacy Policy, and these SMS Terms apply together according to their respective scopes.

If there is a conflict between these SMS Terms and the Terms of Service regarding an SMS-specific matter, these SMS Terms will control with respect to that matter.

Dispute Resolution

The dispute resolution and arbitration provisions contained in Section 18 of our Terms of Service are incorporated into these SMS Terms only with respect to disputes arising out of or relating to your participation in, consent to, receipt of, or interaction with Theia's SMS program, to the extent permitted by applicable law.

Those provisions include important information regarding individual arbitration, the class action waiver, small claims court, California claims, your right to opt out of arbitration, and other dispute-resolution rights.

Nothing in these SMS Terms expands the scope of the arbitration agreement beyond disputes concerning the SMS Services governed by these SMS Terms.

11. CHANGES TO YOUR MOBILE NUMBER

If you change, discontinue, or transfer your mobile phone number, please notify us or opt out of SMS communications before the number is reassigned.

You agree not to knowingly provide a mobile number that you do not own, use, or have authorization to provide.

To the fullest extent permitted by law, Theia is not responsible for messages sent to a mobile phone number that you previously provided but no longer control where we have not been notified of the change.

12. CHANGES TO THE SMS PROGRAM OR THESE TERMS

We may modify, suspend, or discontinue all or part of our SMS program from time to time.

We may also update these SMS Terms to reflect changes to our Services, technologies, practices, or legal requirements.

When we make material changes to these SMS Terms, we will update the “Last Updated” date above and provide any additional notice required by applicable law. Where appropriate based on the nature of the change, we may provide notice through SMS, email, our Services, or another reasonable method.

We will obtain additional consent where required by applicable law before materially expanding the types of marketing SMS communications covered by your existing consent.

13. DISCLAIMER AND LIMITATION OF LIABILITY

The SMS program is provided on an “as is” and “as available” basis.

To the fullest extent permitted by applicable law, Theia does not guarantee that SMS messages will be timely, complete, accurate, or successfully delivered.

The limitations of liability contained in Section 15 of our Terms of Service are incorporated into these SMS Terms and apply to claims arising from the SMS program to the extent permitted by applicable law.

Nothing in these SMS Terms excludes or limits any liability or consumer right that cannot lawfully be excluded or limited.

14. GOVERNING LAW

These SMS Terms are governed by the laws of the State of California, without regard to conflict-of-law principles, subject to applicable law and the dispute-resolution provisions incorporated above.

For claims arising in California, nothing in these SMS Terms requires a consumer to arbitrate outside California or under the substantive law of another state.
